Terms and Conditions 

1. Introduction

Welcome to Skymech.ai (the “Platform”), operated by Skymech FZC (“Skymech”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Platform and any related services we provide (collectively, the “Services”). By creating an account, using the Platform, or purchasing any Services, you agree to be bound by these Terms.

2. Eligibility and account registration

You must be at least 18 years old and legally capable of entering into binding contracts under the laws of the United Arab Emirates to use the Services. You are responsible for providing accurate account information and for keeping your login credentials confidential. You are responsible for all activities that occur under your account and agree to notify us promptly of any unauthorized access or use.

3. Description of services

Skymech provides a cloud‑based software platform that enables workshops, automotive businesses, and customers to manage bookings, inspections, repairs, service workflows, and related digital services (“Skymech Services”). The Services may include access to web and mobile applications, automation tools, integrations with third‑party services (such as payment gateways), and other value‑added features. We may update, enhance, or modify the Services from time to time. We will not materially reduce the core features of any paid subscription during the then‑current subscription term, except where required for legal, regulatory, or security reasons.

4. Acceptable use

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable UAE or international law or regulation.

  • Upload, post, or transmit any content that is defamatory, abusive, fraudulent, infringing, or otherwise objectionable.

  • Interfere with or disrupt the operation of the Platform or the networks or systems connected to it.

  • Attempt to gain unauthorized access to the Platform, other user accounts, or any related systems.
    We may suspend or terminate your access to the Services if we reasonably believe that you have breached these Terms or are otherwise misusing the Platform.

5. Orders, fees, and subscriptions

Details of Service plans, features, and pricing are described on the Platform or in a written proposal or order form (each an “Order”). By placing an Order or subscribing to a plan, you make an offer to purchase the selected Services. We may accept or reject an Order in our discretion.
All fees, subscription charges, and other amounts are payable in accordance with our Payment Policy. Unless otherwise indicated, fees are quoted in United Arab Emirates dirhams (AED) and are exclusive of applicable taxes. We may change our prices and plans from time to time. Any changes will apply at the start of your next billing period unless otherwise agreed.

6. Subscription term, renewal, and cancellation

Where you purchase a subscription, the subscription term will start on the date specified in the Order or account activation and continue for the initial period selected (“Initial Term”). Unless otherwise stated, subscriptions automatically renew for successive periods equal to the Initial Term (“Renewal Term”) at our then‑current rates.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period. Fees already paid are non‑refundable, except as set out in our Refund Policy or where otherwise required by law.

7. Service performance and downtime

We will use reasonable efforts to keep the Platform available and functioning. However, the Services may be temporarily unavailable from time to time due to scheduled maintenance, emergency maintenance, or factors beyond our reasonable control. We do not guarantee uninterrupted or error‑free operation of the Services, but we will act reasonably to minimize disruption.

8. User content and data

You may upload or input data, including business details, customer information, vehicle information, service records, documents, and other content (“User Content”). You retain ownership of your User Content. You grant Skymech a worldwide, non‑exclusive, royalty‑free license to host, store, process, and use User Content solely for the purpose of providing, maintaining, and improving the Services, and as otherwise described in our Privacy Policy.
You are responsible for ensuring that you have all necessary rights, consents, and authorizations to provide User Content to us and to use it through the Services.

9. Third‑party services and integrations

The Platform may enable you to access or use third‑party services, including payment gateways, communication tools (SMS/email), and analytics platforms. Your use of any third‑party service is governed by that provider’s own terms and privacy policy. Skymech is not responsible for third‑party services and does not endorse, control, or provide any warranty for them. We are not liable for any damages or loss arising from your use of third‑party services.

10. Intellectual property

All rights, title, and interest in and to the Platform and Services (including software, source code, trademarks, logos, content, and documentation) are owned by Skymech or our licensors. Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes or personal use. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform, except as expressly permitted by law.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Skymech FZC disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Services will meet your requirements, be compatible with your systems, or be error‑free or uninterrupted.

12. Limitation of liability

To the maximum extent permitted by law, Skymech FZC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Services.
To the extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Skymech for the Services during the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless Skymech FZC, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms.

  • Your misuse of the Services.

  • Any User Content you provide to or through the Platform.

14. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the United Arab Emirates. The courts of Dubai, United Arab Emirates (and, where applicable, the relevant free zone authority courts) shall have exclusive jurisdiction to settle any such dispute or claim.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as by email or via the Platform. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
